Billing Terms

This Billing Terms forms part of, and is incorporated into, our Terms of Service.
1. Introduction
These Billing Terms (the "Terms") govern all paid services offered by SleepyNeko Studios Ltd. ("we", "our", or "us") in connection with 『雲端貓居 NyankoHost』(the "Service"). By subscribing to or using any paid service, you agree to be bound by these Terms.
2. Paid Services
We may offer certain features, resources, or services as paid plans, add-ons, or custom agreements ("Paid Services"). Details of available Paid Services, including features, pricing, and terms, are provided at the point of purchase or in applicable service descriptions or documentation.
3. Fees and Payment
All fees for Paid Services are displayed exclusive or inclusive of applicable taxes, depending on your region, at the point of purchase or in applicable service descriptions. Fees may be charged on a recurring basis (e.g., monthly) or as a one-time charge, depending on the specific service. Unless otherwise stated, all fees are charged in advance.
We accept various payment methods for our Paid Services, as specified at the point of purchase. By providing payment information, you represent and warrant that you are authorized to use the payment method and that you authorize us to charge your payment method for the total amount of your subscription, including any applicable taxes and fees.
3.1 Billing Cycle and Renewal
For recurring Paid Services, your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. Renewal fees will be charged at the then-current rates for the service. You can manage or cancel your subscription through your account dashboard or by creating a support ticket.
You are responsible for managing and cancelling your subscription before the next billing cycle if you do not wish to continue using the Paid Service.
3.2 Refunds
All fees for Paid Services are final and non-refundable, except as required by applicable law.
This includes, but is not limited to:
- Partial billing periods
- Unused resources or features
- Service suspensions or terminations due to violations of our Terms of Service or Fair Usage Policy
- Changes in your usage needs or circumstances
You acknowledge that:
- The Service is provided on a shared infrastructure with variable workloads
- As such, performance and availability may fluctuate
- You are responsible for evaluating whether a Paid Service meets your needs before purchasing
4. Service Suspension for Non-Payment
If payment is not sucessfully completed or is reversed:
- We may suspend or restrict access to your Paid Service
- Your applications may be suspended until payment is resolved
- Your data may be deleted in accordance with our data retention policies if the issue is not resolved within a reasonable time frame
We are not responsible for any loss of data or service interruption resulting from non-payment or payment issues.
5. Chargebacks and Disputes
If you initiate a chargeback or payment dispute:
- We reserve the right to immediately suspend your Paid Service pending resolution
- All associated services may be disabled
- Access to the Paid Service may be permanently revoked
- Your account may be subject to termination in accordance with our Terms of Service
Where appropriate, we may provide relevant usage and account information to payment processors or financial institutions to contest chargebacks or disputes.
6. Upgrades, Downgrades, and Changes to Paid Services
You may be able to upgrade or downgrade your Paid Service plan, subject to the terms of the specific service.
When possible, upgrading may take effect immediately and may be prorated based on the remaining billing cycle. Downgrading or cancelling typically take effect at the end of the current billing cycle, and you will continue to have access to the features of your current plan until then.
No refunds or credits are provided for downgrades or unused time.
7. Changes to Service and Pricing
We may modify, replace, or discontinue any Paid Services at any time.
Where reasonably practical, we will provide notice of material changes to Paid Services or pricing affecting existing subscribers to Paid Services.
8. Changes to Billing Terms
We may update these Billing Terms from time to time. We will provide notice of any material changes to these Billing Terms, and the updated terms will be effective as of the date specified in the notice. Continued use of Paid Services after the effective date of the updated Billing Terms constitutes acceptance of the updated terms.
